Tax Counsel, Tax Planning
About the Role
Cohere is seeking an experienced Tax Counsel to lead our global tax planning function. This critical position will focus on strategic tax planning across global M&A transactions, Canadian income tax compliance and planning, global tax planning, and transfer pricing optimization. You'll play a key role in shaping Cohere's tax strategy while working closely with leadership, Finance, Legal, and external advisors.
Key Responsibilities
- Lead tax due diligence and preliminary planning for all M&A transactions, coordinating with internal teams and external advisors to support business objectives
- Design and implement global tax planning structures that optimize Canadian and foreign tax positions, transfer pricing outcomes, and US GAAP compliance
- Oversee domestic Canadian income tax planning, compliance, and routine filings, establishing efficient processes with service provider coordination
- Provide expert tax guidance to Legal and business teams on commercial arrangements and strategic initiatives, translating complex tax implications into actionable insights
- Monitor global tax developments and assess their impact on Cohere's tax position and planning opportunities
Qualifications
- JD designation
- 5-8 years of progressive experience in Canadian tax, international tax, or M&A tax
- Strong technical expertise in Canadian income tax, transfer pricing, and cross-border tax planning
- Proven ability to manage complex tax projects from inception to completion
- Excellent analytical skills with both qualitative and quantitative capabilities
- Experience in the technology or AI sector
- Knowledge of global tax principles (US is a plus) and international tax treaties
- Working knowledge of Canadian and global indirect tax systems
- Strong communication skills to explain complex tax concepts to non-tax stakeholders
- Advanced proficiency in Excel / Google Sheets and tax research tools
